TO WHOM IT MAY CONCERN:

"Al - HAKIM SYSTEM"

It is a System invented by Dr. Toufic Al - Hakim; a Lebanese dentist.

This "Al - HAKIM SYSTEM" is an electromechanical system option for cars. It is essential, considerable and beneficial. Cars optioned by this system will be very special and become the first choice for customers, consequently the most selling in the global car market.

If it is accepted in principle, several steps and conditions should be considered; since the invention is not patented yet:

1 - Sending a letter to Mr. Al - Hakim declaring that your company accepts in principle the "Al - HAKIM SYSTEM" and is ready to negotiate to follow this system.

2 - For the first visit and the proceeding follow-up visits- at least three visits per year until the system is in the market- your company should send an invitation and  cover travel expenses including first class tickets, full boarded five stars hotel and transportation.

This invitation and fully covered fees will include at least three people representing our part ( Two consultants and myself ).

3 - Upon arrival --- During negotiation :

a- Your company has to cover the expenses of two solicitors sharing in the negotiations, one of them named by us.

b- All negotiations should be practiced under ultra security confidential conditions at any conference place specified by us.

c- All negotiations should be authorized and legally registered by two video cameras for official documentation.

d- All documents written or discussed in the meetings should have original copies and signed by both negotiating parties.

e- Each negotiating party keeps its copies.

f- Each party should sign a commitment guaranteeing the other party's rights.

g- Any signed paper, whether with the signature of the company's president or the company's stamp, will be considered an official document.

Conditions:

1 - No information can be declared about the invention unless the company agrees upon all mentioned conditions and when the invention is patented by the company who has to cover all the expenses of the inventor's patent registration.

2 - The patented invention is owned only by the inventor himself or his inheritors, and can't be yielded to others.

3 - After signing the contract, the company should guarantee to patent the invention all over the world covering all the expenses of the inventor's patent registration for global patent protection.

4 - "Al - HAKIM SYSTEM" as a phrase must be seen clearly on every single part of the invented system, in addition to being mentioned in any advertisement for cars optioned by this system.

5 - On signing the contract under the mentioned terms and conditions, your company has to pay the inventor of the "Al - HAKIM SYSTEM"; Dr. Toufic Al - Hakim or his inheritors, the gross amount of " US$ ... ", only US$ .....; as a first payment for the first year, this amount will be transferred to the bank that Dr. Al-Hakim chooses in any region of the world.

6 - A year after signing the contract, the company should pay to Dr. Al-Hakim or his inheritors the gross amount of " US$ ..... " only US$ .... representing the second payment, this amount will be transferred to the bank that Dr. Al - Hakim chooses in any region of the world.

7 - An amount representing "... %" of the total whole sale of the vehicles optioned by "Al - HAKIM SYSTEM" and the spare part of this system should be paid annually to Dr.Al - Hakim or his inheritors. Whether the system is adopted in cars or not, this fee should be paid to Dr. Al-Hakim or his inheritors, even if your company is sold to any other company with a different name. This amount will be transferred to the bank that Dr. Al-Hakim or his inheritors choose in any region of the world.

8 - A group of "15" fifteen brand new full option cars chosen by Dr. Al-Hakim or his inheritors should be provided annually from the company and delivered C & F at any seaport in the world chosen by Dr. Al - Hakim or his inheritors. This term should be followed starting the date of signing the contract.

9 - All the offspring inheritors of the inventor that are 18 years old and above- grand daughters & grand sons of the daughters and sons of the inventor- and are officially documented have the right to yearly choose and own a brand new car from the company till the age of 75. The cars should be delivered C&F at any seaport in the world chosen by the offspring inheritors even if your company is sold to any other corporation with different name.

10 - After "3" three years of signing the contract, Dr. Al - Hakim or his inheritors can get the invention "Al - HAKIM SYSTEM" back, if your company didn't produce cars optioned by this system. In this case your company will pay again for the second time, the gross amount of " US$ .... " only US$ ..... to Dr. Al -Hakim or his inheritors, and the company will loose all the previous expenses paid for this System and the Inventor, and the company will also loose any right of claiming and using this System again, and Dr. Al-Hakim or his inheritors will have a full right of selling the System to any other company.
